Les actions sont cessibles sans les actifs de la société, sauf disposition contraire des statuts pour les actions inscrites au nom de la société. La cession d'actions inscrites au nom de la société est nulle si elle n'est pas effectuée par écrit et signée par le cédant et le cessionnaire, leurs signatures devant être certifiées par au moins un témoin. Cette cession est inopposable à la société et aux tiers jusqu'à ce que le transfert et les nom et adresse du cessionnaire soient inscrits au registre des actionnaires.
