ถ้าคู่สัญญาฝ่ายหนึ่งทำสัญญาตกลงว่าจะชำระหนี้แก่บุคคลภายนอกไซร้ ท่านว่าบุคคลภายนอกมีสิทธิจะเรียกชำระหนี้จากลูกหนี้โดยตรงได้ในกรณีดังกล่าวมาในวรรคต้นนั้น สิทธิของบุคคลภายนอกย่อมเกิดมีขึ้นตั้งแต่เวลาที่แสดงเจตนาแก่ลูกหนี้ว่าจะถือเอาประโยชน์จากสัญญานั้น

English translation
If a party by a contract agrees to make a performance to a third person, the latter has a right to claim such performance directly from the debtor. In the case of the foregoing paragraph the right of the third person comes into existence at the time when he declares to the debtor his intention to take the benefit of the contract.
