การชำระบัญชีห้างหุ้นส่วนจดทะเบียน หรือห้างหุ้นส่วนจำกัดหรือบริษัทจำกัดซึ่งล้มละลายนั้น ให้จัดทำไปตามบทกฎหมายลักษณะล้มละลายที่คงใช้อยู่ตามแต่จะทำได้ รัฐมนตรีเจ้าหน้าที่จะออกกฎกระทรวงว่าด้วยการชำระบัญชีห้างหุ้นส่วนและบริษัท และกำหนดอัตราค่าฤชาธรรมเนียมก็ออกได้

La liquidation d'une société en nom collectif, d'une société en commandite ou d'une société à responsabilité limitée immatriculée en faillite est effectuée, dans la mesure du possible, conformément aux dispositions de la loi sur la faillite en vigueur. Le ministre compétent édicte des arrêtés ministériels régissant la liquidation des sociétés de personnes et des sociétés et fixant le montant des frais applicables.
