Dès que la liquidation de la société en nom collectif ou de la société de personnes est achevée, les liquidateurs établissent un compte rendu de liquidation détaillant le déroulement de celle-ci et la disposition des biens de la société. Ils convoquent ensuite une assemblée générale afin de lui présenter ce compte rendu et d'en fournir les explications nécessaires. Après approbation du compte rendu, le procès-verbal de l'assemblée doit être enregistré par les liquidateurs dans un délai de quatorze jours à compter de sa date. Cet enregistrement marque la clôture de la liquidation.
