ถ้าจ่ายเงินปันผลไปโดยฝ่าฝืนความในมาตราทั้งสองซึ่งกล่าวมาไซร้ เจ้าหนี้ทั้งหลายของบริษัทชอบที่จะเรียกเอาเงินจำนวนซึ่งได้แจกไปคืนมายังบริษัทได้ แต่ว่าถ้าผู้ถือหุ้นคนใดได้รับเงินปันผลไปแล้วโดยสุจริต ท่านว่าจะกลับบังคับให้เขาจำคืนนั้นหาได้ไม่

If dividend has been paid contrary to the provisions of the last two proceeding sections, the creditors of the company are entitled to have the amount so distributed returned to the company, provided that a shareholder cannot be obliged to return dividend which he has received in good faith. ection 1204 * Notice of any dividend that may have been declared shall be given by letter to each shareholder whose name appears on the register of shareholders. If the company has any share represented by a certificate issued to bearer, the notice shall also be published once at least in a local paper.
