ถ้ามิได้กำหนดไว้เป็นอย่างอื่นในนิติกรรมอันก่อให้เกิดสิทธิเหนือพื้นดินไซร้ ท่านว่าสิทธินั้นอาจโอนได้และรับมรดกกันได้

มาตรา 1411 วางหลักว่าสิทธิเหนือพื้นดินเป็นสิทธิที่โอนได้และตกทอดเป็นมรดกได้ เว้นแต่นิติกรรมที่ก่อให้เกิดสิทธินั้นจะกำหนดไว้เป็นอย่างอื่น หลักนี้ตรงข้ามกับสิทธิอาศัยตามมาตรา 1404 ซึ่งโอนกันไม่ได้แม้โดยทางมรดก และตรงข้ามกับสิทธิเก็บกินตามมาตรา 1418 วรรคท้าย ซึ่งสิ้นไปเมื่อผู้ทรงสิทธิถึงแก่ความตาย ข้อนี้เป็นเหตุผลสำคัญที่ทำให้สิทธิเหนือพื้นดินถูกเลือกใช้ในการวางโครงสร้างระยะยาว เพราะผู้ทรงสิทธิสามารถโอนสิทธิให้ผู้อื่นหรือส่งต่อให้ทายาทได้ ส่วนกำหนดเวลาของสิทธิเหนือพื้นดินเป็นเรื่องของมาตรา 1412 ซึ่งให้ก่อสิทธิโดยมีกำหนดเวลา หรือตลอดชีวิตเจ้าของที่ดิน หรือตลอดชีวิตผู้ทรงสิทธิก็ได้ และถ้ากำหนดเวลาไว้ ให้นำมาตรา 1403 วรรคสามมาใช้บังคับโดยอนุโลม ซึ่งเป็นที่มาของเพดานสามสิบปี
