Statutory text (Thai original)
ถ้าการกระทำตามหน้าที่ของผู้แทนของนิติบุคคลหรือผู้มีอำนาจทำการแทนนิติบุคคล เป็นเหตุให้เกิดความเสียหายแก่บุคคลอื่น นิติบุคคลนั้นต้องรับผิดชดใช้ค่าสินไหมทดแทนเพื่อความเสียหายนั้น แต่ไม่สูญเสียสิทธิที่จะไล่เบี้ยเอาแก่ผู้ก่อความเสียหายถ้าความเสียหายแก่บุคคลอื่นเกิดจากการกระทำที่ไม่อยู่ในขอบวัตถุประสงค์หรืออำนาจหน้าที่ของนิติบุคคล บรรดาบุคคลดังกล่าวตามวรรคหนึ่งที่ได้เห็นชอบให้กระทำการนั้นหรือได้เป็นผู้กระทำการดังกล่าว ต้องร่วมกันรับผิดชดใช้ค่าสินไหมทดแทนแก่ผู้ที่ได้รับความเสียหายนั้น

English translation
A juristic person is bound to make compensation for any damage done to other persons by its representatives or the person empowered to act on behalf of the juristic person in the exercise of their functions, saving its right of recourse against the causers of the damage. If damage is done to other persons by an act which is not within the scope of the object or power and duties of the juristic person, all the persons as mentioned in paragraph one who agreed such act or executed it, are jointly liable to make compensation.
